For your lawyer: Mega Events and the AI hiring assistantThe new text in Sections 06, 07, 08, 10, 12, 13, and 15 covers Mega Event Posts and the optional AI assistant that ranks and hires Guards for them. Please check it against laws on automated tools in hiring, including New York City Local Law 144 (bias audits and notice), Illinois HB 3773 (in effect January 1, 2026), the Colorado AI Act (its start date has been delayed; confirm the current status), and California's regulations on automated-decision systems in employment (in effect October 2025). Also check whether canceling a Mega event triggers reporting-time or scheduling-pay rules where Guards work, and how long event records should be kept.

These Terms of Service ("Terms") govern your access to and use of OfficerCircle (the "Platform," "we," "us"). By creating an account or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

01What OfficerCircle Is

OfficerCircle is a referral network that connects independent security agencies ("Agencies") with individuals offering security guard services ("Guards"). OfficerCircle facilitates introductions between Agencies and Guards through profile browsing, messaging, and post listings.

OfficerCircle is not a staffing agency, employment agency, or employer of record. OfficerCircle does not hire, employ, supervise, schedule, or pay any Guard, and does not engage, direct, or supervise any Agency's work. Any engagement, hiring decision, rate of pay, schedule, or working arrangement between an Agency and a Guard is made solely between those parties, outside of and independent from OfficerCircle.

02Verification

New · for legal reviewWhen an Agency signs up, OfficerCircle's team looks up its state security agency license number on the issuing state's public records where those records are available, and shows the result on the Agency's account. OfficerCircle does not conduct criminal background checks or employment verification, and does not verify any Guard's license, certification, or uploaded document with the issuing state.

New · for legal reviewGuards enter their own license, certification, experience, and other profile information. OfficerCircle uses automated tools, including artificial intelligence, to review the licenses and documents Guards add and to flag information that doesn't match or appears altered or fake, and OfficerCircle's team reviews what is flagged. Agencies see the result of that review next to each license. This review can make mistakes; it is not a verification by any state, and it is not a guarantee that a license is valid, current, or belongs to the Guard who entered it. The Platform links to each state's official license lookup to make checking easier, and lets an Agency record that it checked a Guard's license; that record is for the Agency's own use and is visible only to that Agency and to OfficerCircle. Agencies are solely responsible for their own due diligence — including verifying licensure with the issuing state, confirming certifications, and performing any background checks required by law — before engaging any Guard. Guards are encouraged to check an Agency's license and reviews before accepting an engagement.

03Independent Relationship; No Employment

OfficerCircle, Agencies, and Guards are independent of one another. Nothing in these Terms creates an employment, joint-employer, agency, partnership, or franchise relationship between OfficerCircle and any Agency or Guard. OfficerCircle does not control the manner, means, hours, or methods by which any Guard performs security work, and does not set pay rates, schedules, or work assignments.

Agencies are solely responsible for their own compliance with employment, wage-and-hour, workers' compensation, and labor laws applicable to their engagement of any Guard.

04Assumption of Risk

Security guard work carries inherent risks, including physical risk. By using the Platform, you acknowledge and accept the risks associated with arranging and performing security work, including risks arising from working with an Agency or Guard whose background, licensing, and qualifications have not been independently verified by OfficerCircle. You are solely responsible for evaluating the risks of any engagement you enter into through the Platform.

05Accounts

You must provide accurate, current information when creating an account and keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

You must be at least 18 years old to use the Platform. Agencies represent that they are lawfully authorized to operate as a security services provider in their jurisdiction.

06Subscriptions & Billing

Plans. Agencies use the Platform through a paid subscription. Each plan includes a monthly allowance of job posts, a limit on how many Guards can accept each post, a distance range, and (on some plans) matches. Plan details are shown before you subscribe and may change with notice. Prices don't include sales tax; applicable taxes are added at checkout.

Renewal and cancellation. Subscriptions renew automatically each month or year until cancelled. You can cancel anytime in Billing; you keep access through the end of the period you've paid for. Fees are non-refundable, including for partial periods, except where the law requires otherwise.

New · for legal reviewRefunds. Fees are non-refundable, except where the law requires a refund or where OfficerCircle decides, at its discretion, to give one.

New · for legal reviewQuestions about a charge. If you think a charge is wrong, please contact OfficerCircle at inquiries@officercircle.com before you dispute it with your bank or card issuer, so we can look into it. This doesn't take away any right you have under the law.

New · for legal reviewFounding members. The first 10 Agencies to subscribe are founding members and keep OfficerCircle's launch prices for as long as they stay subscribed. The founding price ends when the subscription ends: when a cancellation takes effect at the end of the period you've paid for, or when the account is deleted. Pausing for the free month doesn't end it. Once a founding membership ends, it can't be restored, and the spot isn't offered to another Agency.

Changing plans. Upgrades take effect right away, and you're charged the prorated difference for the rest of the current period. Moves to a smaller plan or from yearly to monthly billing take effect on your next billing date.

Pausing. You may pause your subscription for one month at no charge. While paused, you can sign in and view your account, but posting, browsing Guards, matching, and messaging are turned off, and your posts are hidden from Guards. Your plan resumes automatically at the end of the month, and billing restarts, unless you cancel before then.

Post allowances. Unused monthly posts expire at the end of each billing month, except on the Team plan, where unused posts carry over to the following month only, up to one month's allowance. Extra posts purchased during a month must be used that month.

Add-ons. Optional add-ons, such as the Featured badge, are billed with your plan until you turn them off. OfficerCircle does not guarantee how many Guards will accept any post.

New · for legal reviewMega Event Posts. Mega Event Posts are available on the Team plan. The price is set per Guard, based on how many Guards you need each day and how many days the event runs, and is shown before you publish. The base price of one Mega Event Post is capped at $1,500. If you choose backups (1.5× or 2× sign-ups), the backup charge is added on top of the base price. You're charged in full when you publish. Mega Event Posts are non-refundable once published, including if you later edit or cancel the event, except where the law requires otherwise.

No guarantee of a full crew. OfficerCircle doesn't guarantee how many Guards will sign up for, be hired for, confirm, or show up to any Mega event. Backups, invites, the day-before check, and the AI assistant can improve the odds of a full crew, but don't guarantee one.

07Job Posts

Agencies are solely responsible for their job posts and for following the law that applies to them, including pay-transparency laws, equal-opportunity and anti-discrimination laws, and licensing requirements for the role. Posts must describe real work and real pay: shift posts show an exact hourly rate, and part-time or full-time posts show a good-faith pay range. OfficerCircle may edit labels on, hide, or remove any post that appears inaccurate, discriminatory, or unlawful.

OfficerCircle is a hiring network, not a staffing agency or employer. Agencies decide whom to hire, and they employ, supervise, and pay the Guards they hire.

New · for legal reviewMega Event Posts. A Mega Event Post covers a whole event, one or more days, in one post. It's shown to Guards within 100 miles of the venue who hold the required license type, and to Guards the Agency invites. An Agency can invite only Guards it already knows on the Platform: Guards it has hired, matched with, or saved. Invited Guards are ranked and treated the same as every other Guard who signs up. Sign-ups for each day close when that day's first shift starts, and the event comes off Guards' feeds when it ends.

Backups and the day-before check. If the Agency chose backups, Guards who sign up after a day is full are kept as backups in order. If the day-before check is on, each Guard hired for a day is asked the day before to confirm they're coming. If a Guard hasn't confirmed by the time shown, the next backup (if there is one) is put on standby, and the Agency decides whether to keep the Guard or swap in the backup. A confirmation is not a guarantee that a Guard will show up.

Editing and canceling. Until the event's first shift starts, the Agency can change shift start times, venue details, check-in notes, and pay. Pay can go up but not down. Dates and the number of Guards can't change after publishing, because Guards plan around them and the price is based on them. Everyone hired or signed up is told about each change. Until the first shift starts, the Agency can also cancel the event: everyone hired or signed up is told, the event comes off Guards' feeds, and nothing goes on a Guard's record because of it. Canceling doesn't refund the post (see Section 06), and it doesn't change anything the Agency owes Guards under the law.

No-shows at Mega events. After a shift starts, the Agency can report that a hired Guard didn't show up. Because a Mega event depends on a full crew, a Mega event no-show goes to OfficerCircle for review right away, instead of only after a pattern of no-shows. It's added to the Guard's record, which other Agencies don't see. The Guard is told and can dispute it, and OfficerCircle may take action under Section 10. Agencies must report no-shows honestly; a false report breaks these Terms.

08Matches, Requests, and Contact Information

An Agency may send a Guard a match request; a Guard may send a match request to an Agency that accepts them. When a request is accepted, both sides can message each other and see each other's phone numbers. A Guard who accepts an Agency's post can message that Agency inside the Platform; their phone numbers are shared when the Agency hires them. Requests expire after 7 days, and after a request is declined, the sender must wait 14 days before asking again. Plans limit how many matches and requests can be sent or accepted.

Use another user's contact information only to discuss and arrange work. Don't sell it, share it with anyone outside your organization, or use it for unrelated marketing.

New · for legal reviewEvent chats. When an Agency hires the first Guard for a Mega event, the Platform opens an event chat. Every Guard hired for the event is added automatically and removed if they come off the schedule. Only the Agency, and its AI assistant if it's turned on, can post to the whole crew or to one day's crew. Guards can read those posts and message the Agency privately, but can't post to the group. Guards don't see each other's phone numbers or email addresses in the chat. Event chats follow the same rules as other messages on the Platform.

09Payment Between Agencies and Guards

OfficerCircle does not process, hold, or guarantee payment between Agencies and Guards. Any wages, fees, or other compensation for work performed are arranged and paid directly between the Agency and the Guard. OfficerCircle has no responsibility for, and no liability arising from, non-payment, late payment, or payment disputes between Agencies and Guards.

10Conduct

You agree not to: provide false or misleading information on your profile; use the Platform to harass, discriminate against, or endanger any person; attempt to circumvent the Platform's messaging or hiring flow for unlawful purposes; or use the Platform in violation of any applicable law, including licensing requirements for security work in your jurisdiction.

New · for legal reviewPaying Guards. Agencies agree to pay Guards for work performed as agreed. OfficerCircle doesn't set pay, process payments, or settle payment disputes (see Section 09). But if a Guard reports never being paid for work an Agency agreed to pay for, OfficerCircle may review the report and treat it as a violation of these Terms. Any action OfficerCircle takes doesn't make it responsible for collecting or guaranteeing payment.

New · for legal reviewWarnings and suspensions. If you break these Terms, OfficerCircle may, depending on how serious it is:

We'll tell you in the app and by email which rule was broken. We don't have to warn you before suspending or terminating an account, especially when someone's safety is at risk. If you think a decision was a mistake, you can ask for a human review under Section 15.

11Use of Platform Information

Don't use the Platform to compile, scrape, export, or resell information about other users — for example, building lists of Guards' names or profiles for use outside the Platform, or sharing your account with people outside your organization beyond the logins your plan includes. Working directly with the Guards and Agencies you meet through OfficerCircle, including hiring them for ongoing or full-time work, is exactly what the Platform is for.

12Reviews & Ratings

Reviews and ratings submitted through the Platform are visible to other users of the network. Submit only honest, good-faith reviews based on an actual engagement. Agencies may add a private note to a rating they give; that note is visible only to the Agency that wrote it. A user may dispute a review they believe is inaccurate or submitted in bad faith; OfficerCircle has sole discretion to review, retain, remove, or annotate any review.

New · for legal reviewChanging a rating. You can change a rating you gave for 7 days after you first submit it. Changing it doesn't restart the 7 days. After that, the rating is final, though you can still dispute a rating you received. After a Mega event ends, the Agency can rate each Guard who worked it, and each Guard can rate the Agency.

13Text Messages and Email

If you opt in, OfficerCircle will send you text messages about your account and activity — for example, new posts near you, match requests, hires, and shift confirmations. Message frequency varies. Message and data rates may apply. Reply STOP to any text to stop receiving texts, or HELP for help; you can also turn texts off in Settings. Agreeing to receive texts is not a condition of using the Platform. Carriers are not liable for delayed or undelivered messages.

New · for legal reviewMega events. If you're hired for a Mega event, you may also get texts asking you to confirm the day before each day you work, posts from the Agency in the event chat, and texts when the Agency changes or cancels the event. If an Agency invites you to a Mega event, you may get a text about the invite. These follow the same opt-in and STOP rules.

We email you about account activity based on your notification settings. Billing and account-security emails are always sent.

14Training Schools and Sponsored Content

OfficerCircle may show training schools to Guards — for example, in the Certifications section. Schools that pay to appear are labeled "Sponsored," and schools with which OfficerCircle or its owners have a business or family relationship are labeled "Partner school." OfficerCircle doesn't endorse or guarantee any school, course, or certification; schools are responsible for their own courses, and enrollment is between you and the school.

15Fair Enforcement & Automated Decisions

The Platform may use automated features — including profile-completeness scoring and search ranking — to help Agencies find Guards. These features are provided to improve usability and do not constitute a certification, endorsement, or guarantee of any Guard's or Agency's quality, safety, or suitability.

New · for legal reviewAI hiring assistant for Mega Event Posts. An Agency can turn on an AI assistant to help staff a Mega event. It's off until the Agency turns it on and chooses its settings: when to hire, what to put first (for example, reliability or distance), a minimum rating, whether to run the day-before check, and how often to get updates. Within those settings, it follows fixed rules. It ranks Guards only on job-related information: license type and status, rating, reliability record, distance, and availability for the days needed. It doesn't use race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, or any other characteristic protected by law. When it isn't sure about a Guard, for example a license it can't confirm, it leaves the decision to the Agency.

Who decides. A hire made by the assistant is the Agency's own hiring decision, made for it under the settings it chose; OfficerCircle doesn't hire anyone. The Agency is responsible for its settings, for its hires, and for following any law that applies to using automated tools in hiring, including any notice, audit, or assessment it requires. The Agency can see everything the assistant did and why, replace any Guard it hired, change the settings, or turn it off at any time. The assistant pauses while the Agency's account is suspended.

Any user who believes an automated ranking, account suspension, or other enforcement decision was made in error may request human review by contacting inquiries@officercircle.com.

16Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied. OfficerCircle does not warrant that any Agency or Guard is safe, reliable, qualified, properly licensed, or suitable for any particular engagement.

17Limitation of Liability

To the fullest extent permitted by law, OfficerCircle and its officers, employees, and affiliates will not be liable for any injury, loss, damage, dispute, non-payment, or other harm arising from or related to: (a) any interaction, engagement, or agreement between an Agency and a Guard; (b) reliance on information in a user profile; or (c) any act or omission of an Agency or a Guard. This limitation applies regardless of the legal theory asserted, including negligence.

18Indemnification

You agree to indemnify and hold OfficerCircle harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your engagement with another user of the Platform.

19Termination

OfficerCircle may suspend or terminate your account at any time for violation of these Terms or for conduct that risks harm to other users or the integrity of the network.

20Force Majeure

OfficerCircle is not liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, war, labor disputes, or internet, hosting, or infrastructure outages.

21Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

22Governing Law

These Terms are governed by the laws of [State to be determined with counsel], without regard to conflict-of-law principles.

23General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and OfficerCircle regarding the Platform. OfficerCircle's failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without OfficerCircle's consent; OfficerCircle may assign these Terms in connection with a merger, acquisition, or sale of assets.

24Contact

Questions about these Terms can be sent to inquiries@officercircle.com.
